Digital Product License Agreement

This Digital Product License Agreement applies to digital artwork, PNG files, graphics, templates, printables, and other digital products purchased or downloaded from Kingdom Luxe Digitals, a DBA of Xpressionz by Ki LLC ("Kingdom Luxe Digitals," "KLD," "we," "us," or "our").

By purchasing, downloading, or using a Kingdom Luxe Digitals digital product, you agree to the license terms applicable to that product.

Unless a product listing specifically states otherwise, digital products are provided under the Standard Commercial License described below.

Purchase of a digital product grants you a license to use the product. It does not transfer copyright or ownership of the original artwork or digital file to you.

1. Standard Commercial License

Unless otherwise stated on the individual product listing, a standard KLD digital-product purchase includes a non-exclusive, non-transferable Standard Commercial License for use by the original purchaser.

Under this license, you may use the purchased design to create finished physical products for yourself, as gifts, or for sale to your own customers.

Examples of permitted finished products may include:

  • T-shirts and apparel

  • Tumblers and drinkware

  • Mugs

  • Tote bags

  • Signs

  • Notebooks and stationery

  • Stickers

  • Sublimation products

  • DTF-printed merchandise

  • Other finished physical products incorporating the purchased design

You may sell finished physical products containing the design through your own business, website, social media, vendor events, marketplaces, or other legitimate sales channels, subject to the restrictions in this Agreement.

The Standard Commercial License does not permit you to resell, redistribute, share, sublicense, or give away the original digital design or a substantially similar digital version of it.

2. Personal Use

You may use your purchased digital products for personal projects, including creating items for yourself and gifts for family or friends.

Personal use does not include sharing or distributing the actual digital file.

Each license belongs to the original purchaser.

3. Use With Printing & Production Providers

You may provide a purchased KLD file to a third-party printer, DTF provider, sublimation provider, print shop, or similar production service only when necessary to manufacture finished products for you as the license holder.

The third-party provider may not retain, reuse, resell, share, distribute, or use the file for other customers or purposes.

You are responsible for ensuring that any production provider receiving the file understands that the artwork is licensed and is being supplied solely to fulfill your order.

Providing a file to a production provider does not transfer your license to that provider.

4. Print-on-Demand Services

You may use a KLD design with a print-on-demand provider when the provider is acting solely as a fulfillment partner for finished physical products sold through your business.

You may not upload KLD artwork to marketplaces, design libraries, contributor programs, stock libraries, or other services where the underlying digital artwork can be downloaded, licensed, purchased, accessed, or reused by third parties.

5. Cricut, Silhouette, Canva & Design Software

You may import purchased files into compatible design or production software for the purpose of creating permitted personal projects or finished physical products.

Uploading a file into software does not give you permission to:

  • Publish the design as a reusable public template

  • Add it to a shared design library

  • Make the original artwork downloadable

  • Transfer access to other users

  • Resell the design as a digital template or design asset

You are responsible for confirming software and file compatibility before purchasing.

6. Modification of Designs

You may make reasonable modifications necessary to create your finished physical products, including resizing, arranging, or combining the artwork with other elements.

However, modifying a KLD design does not make the underlying artwork your intellectual property.

You may not modify, recolor, trace, redraw, crop, rearrange, add text to, remove elements from, or otherwise alter a KLD design for the purpose of reselling or distributing the resulting artwork as a digital product unless you have received explicit written permission or purchased a license that specifically grants digital resale rights.

A modified version of a KLD design remains subject to this Agreement.

7. Digital Resale Is NOT Included With the Standard License

The Standard Commercial License does not permit digital resale.

You may not:

  • Resell the purchased digital file

  • Upload the file to another digital marketplace

  • Give the file away as a free download

  • Share the file in Facebook groups, memberships, drives, Dropbox folders, email lists, or similar distribution channels

  • Include the file in a digital bundle

  • Sell a modified version of the file

  • Convert the design into another digital format and sell or distribute it

  • Offer the artwork as clipart, a digital asset, template, transfer file, or downloadable design

  • Sublicense the file to another person or business

  • Claim the original artwork as your own creation

If you wish to sell an eligible KLD design as a digital product, you must purchase the appropriate Digital Resale License when one is offered.

8. Digital Resale License

Certain Kingdom Luxe Digitals products may be offered with an optional Digital Resale License.

A Digital Resale License must be purchased separately unless the individual product listing expressly states that resale rights are included.

The exact resale rights may vary by product. The applicable product listing and any accompanying license terms will specify the rights granted.

Unless otherwise expressly stated, purchasing Digital Resale rights does not transfer copyright or ownership of the original artwork.

The original artwork remains the intellectual property of Kingdom Luxe Digitals and/or its applicable rights holder.

A Digital Resale License does not automatically grant:

  • Exclusive rights

  • Copyright ownership

  • Authorship rights

  • Trademark rights

  • Private Label Rights (PLR)

  • Unlimited sublicensing rights

  • Permission to transfer resale rights to subsequent purchasers

  • Permission to claim that you created the original artwork

If a particular product includes any of these additional rights, they will be expressly stated in that product's license.

9. No Resale-Rights Chain

Unless a product expressly states otherwise, a customer purchasing a KLD Digital Resale License may not pass digital resale rights to their customers.

In other words, purchasing resale rights does not automatically give you permission to create additional resellers.

Your customer may receive whatever end-user rights are expressly permitted by the applicable resale license, but they may not resell or redistribute the file again unless Kingdom Luxe Digitals has specifically authorized such rights.

10. Private Label Rights (PLR)

Private Label Rights are not included with either the Standard Commercial License or Digital Resale License unless an individual product expressly states otherwise.

A product marketed as PLR may have separate terms governing modification, branding, authorship representation, resale, distribution, and other uses.

Do not assume that a product includes PLR simply because commercial use or digital resale is permitted.

11. Sharing & File Distribution

Each digital-product license is intended for the original purchaser.

You may not share purchased files with friends, family members, employees, contractors, other businesses, Facebook groups, online communities, membership groups, or other individuals for their independent use.

A third-party production provider may receive a file only as permitted under the production section of this Agreement.

If another person or business wishes to use the artwork independently, they must obtain their own applicable license.

12. Templates, Transfers & Digital Derivatives

Unless expressly permitted by a product-specific license, you may not use KLD artwork to create and sell:

  • Digital templates

  • Digital stickers

  • Digital planners or digital planner elements

  • Clipart

  • SVG, PNG, JPG, PDF, EPS, or other downloadable design files derived from the artwork

  • Sublimation design files

  • Digital transfer files

  • Embroidery digitization files

  • Font files

  • Digital bundles

  • Editable templates

  • Other digital products that reproduce or distribute the underlying artwork

Selling finished physical products under the Standard Commercial License is permitted. Selling or distributing the underlying artwork digitally is not.

13. Artificial Intelligence, Tracing & Recreation

You may not use KLD digital artwork as source material for the purpose of creating competing digital assets through tracing, vectorization, automated extraction, artificial-intelligence systems, generative models, or similar technologies.

You may not intentionally recreate a KLD design, or commission another person or system to recreate it, for the purpose of avoiding the purchase of an appropriate license or distributing a substantially similar digital product.

14. Copyright & Ownership

Unless otherwise stated, Kingdom Luxe Digitals retains all applicable copyright and intellectual-property rights in original KLD artwork.

Your purchase grants only the usage rights specifically described by the applicable license.

No copyright, trademark, authorship, or ownership rights are transferred merely because a digital product has been purchased.

All rights not expressly granted are reserved.

15. Third-Party Elements & Product-Specific Terms

Some products may contain or incorporate elements subject to third-party licensing, fonts, mockups, software requirements, or other restrictions.

When a product listing contains additional or different licensing terms, the product-specific terms control for that product to the extent they differ from this general Agreement.

Customers are responsible for reviewing the individual product description and applicable license information before purchase.

16. Trademarks & Brand Names

Purchase of a KLD digital product does not grant permission to use the Kingdom Luxe Digitals, Xpressionz by Ki LLC, or other KLD brand names, logos, trademarks, trade dress, or brand identity to market your business or imply endorsement, partnership, affiliation, or authorship.

17. Refunds on Digital Products

Digital products are subject to the Kingdom Luxe Digitals Refund, Returns & Cancellation Policy.

Because digital files cannot be physically returned, digital purchases are generally final once access has been provided or the file has been delivered.

18. License Violations

Use of a KLD digital product outside the scope of the applicable license constitutes unauthorized use.

Kingdom Luxe Digitals reserves the right to revoke a license when the license terms are materially violated and to pursue available remedies for unauthorized copying, resale, redistribution, infringement, or misuse of its intellectual property.

Where appropriate, Kingdom Luxe Digitals may also submit infringement notices or takedown requests to marketplaces, platforms, hosting providers, or other service providers.

Nothing in this Agreement limits any rights or remedies available under applicable law.

19. Questions & Licensing Requests

If you are unsure whether your intended use is permitted, ask before using the artwork.

By purchasing, downloading, accessing, or using a Kingdom Luxe Digitals digital product, you acknowledge that you have reviewed and agree to the applicable licensing terms.
